Terms of Service

By accessing or using the iskysoftic platform ("Studio OS"), including our website, client portal, developer portal, and any associated services, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services. These terms apply to all users including customers, developers, editors, and administrators.

iskysoftic provides digital agency services including but not limited to:

• Custom web and mobile application development
• UI/UX design and branding
• Cloud hosting and infrastructure management
• Ongoing maintenance and support plans
• Project management through our Studio OS platform
• Real-time communication between clients and development teams

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately of any unauthorized access to your account.
• Customer accounts are created via self-registration. Developer accounts are created by an administrator.
• We reserve the right to suspend or terminate accounts that violate these terms.

Each project undertaken through our platform is governed by a project agreement that specifies:

• Scope of work, deliverables, and milestones
• Total development cost and payment schedule
• Timeline and deadline expectations
• Whether managed hosting is included
• Maintenance plan terms, if applicable

Project costs, timelines, and deliverables are agreed upon before work begins and documented within the platform.

• Payments are processed securely through Paystack or Flutterwave.
• Invoices are generated within the platform and sent to your account.
• Payment is due as specified on each invoice. Overdue payments may result in service suspension.
• Maintenance fees are billed according to your agreed plan (monthly, quarterly, or yearly). You may choose to pay upfront for the remaining term.
• All amounts are in the currency specified on the invoice (default: NGN).
• Refunds are handled on a case-by-case basis per the project agreement.

• Upon full payment, all custom work developed for your project (code, designs, content) is transferred to you, unless otherwise specified in the project agreement.
• iskysoftic retains the right to use general methodologies, techniques, and knowledge gained during the project.
• Third-party libraries and open-source components remain under their respective licenses.
• You grant iskysoftic permission to feature your project in our portfolio unless you opt out in writing.

Our platform includes a real-time chat system for project communication. All messages, files, images, and videos shared through the chat are stored on our servers. Administrators have access to all chat history for quality assurance and project management purposes. You agree not to share offensive, illegal, or inappropriate content through our communication channels.

If your project agreement includes managed hosting:

• We will host and maintain your application on reliable cloud infrastructure.
• We aim for 99.9% uptime but do not guarantee uninterrupted service.
• Maintenance plans cover regular updates, security patches, and monitoring.
• Hosting services continue as long as maintenance fees are current.
• We will send reminders before maintenance payment due dates.

To the maximum extent permitted by law, iskysoftic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

Either party may terminate a project agreement with written notice, subject to the terms of the specific agreement. Upon termination, you will be billed for work completed up to the termination date. We reserve the right to terminate or suspend access to our platform for violation of these terms or non-payment.

Both parties agree to keep confidential any proprietary information shared during the course of a project. This includes business strategies, technical specifications, customer data, and any information marked as confidential. This obligation survives termination of the agreement.

We reserve the right to modify these terms at any time. Material changes will be communicated through the platform or via email. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
